Candidates Committee Procedures

MAV PAC has a nine person Candidates Committee appointed by the Chairman of
MAV PAC and comprised of the PAC's treasurer and eight other Sustaining Members
in good standing.

The Candidates Committee is charged with making recommendations to the PAC
membership of what candidates the PAC should support through endorsements or
contributions or both.

The MAV PAC board shall inform the Candidates Committee of the total amount of
PAC money the PAC can contribute to candidates each cycle. The Candidates
Committee shall recommend a candidate budget that is no greater than this
amount.

The candidate budget created by the Candidates Committee shall apportion the
available PAC money among statewide races and local races. The Candidates
Committee shall limit the number of local races it recommends for the candidate
budget to no more than three (3), but it is not required to recommend that
many. The local races shall be those state senate, state representative or
other races that the Candidates Committee determines are the most important to
the Republican Party that cycle. Expert opinion shall guide and inform the
Candidates Committee's opinion but shall not determine it exclusively.

All PAC members may recommend candidates for consideration for endorsement or
the candidate budget. However, only Sustaining Members formally may suggest a
candidate for consideration by the Candidates Committee. Individual Members
seeking to make recommendations may do so through the Sustaining Member
assigned as their sponsor. Candidate recommendations can be made at any time by
any Sustaining Member to any Candidates Committee member.

Candidate endorsements and the candidate budget must be approved by more than
50% of the members of the Candidates Committee at a meeting of the committee.
Candidates Committee members shall receive twenty-four (24) hours written
notice of any meeting at which the committee shall consider candidate
endorsements or the candidate budget. Written notice may be provided by e-mail.
Proxy voting is not permitted.

The Candidates Committee shall present any candidate endorsements and the
candidate support budget at a meeting of the Sustaining Members of MAV PAC. In
order to vote on candidate endorsements and the candidate budget, at least 50%
of the Sustaining Members must be present either in person or by telephone.
Proxy voting is not permitted. Only Sustaining Members of MAV PAC in good
standing shall vote on candidate endorsements and the candidate budget.

All Sustaining Members shall receive three (3) business days written notice of
any meeting at which MAV PAC shall consider candidate endorsements or the
candidate budget. Written notice may be provided by email. To be approved,
candidate endorsements and the candidate budget must receive the affirmative
vote of two-thirds (2/3) of the Sustaining Members present (either in person or
by telephone) at the meeting.
